ADII Research & Applications (P) Limited (“ADII”, “We”, “Us” or “Our”) provides solutions and services on internet and desktop to its clients (the “Clients” or “You” or “Your”). Services provided to you by Us (“Services”) may be suspended or terminated in accordance with the Terms of Services for violation of Our Acceptable Use Policy (“Terms of Service and Accepted Use”). Please read this policy carefully since by visiting this website or sharing information with us, you agree to be bound by this “Terms of Service and Accepted Use” Policy and use our services at your own risk.
As the standards governing Internet privacy continue to evolve, we may find it appropriate or necessary to update this “Terms of Service and Accepted Use” from time to time. Company reserves the right to suspend/terminate any products/services if it violates the law of the land or comes across evidence of misuse of resources that can affect other clients from enjoying our services. Misuse includes:
Company can take legal measures as deemed fit if any sort abuse/maltreatment to the employees in our Support Department is detected. The company has zero tolerance policy in case of any abuse.
You may not use the Services in a way that consumes a disproportionate amount of system resources. For example, you may not distribute software to the public, provide a public file download Services or employ programs that consume excessive CPU capacity. We may suspend or terminate your Services for violation of this provision in addition to requiring you to pay overage fees as per our current pricing.
You may not publish or transmit pornography, any content that is excessively violent or that incites or threatens violence, contains harassing content or hate speech, is defamatory or violates a person's privacy, creates a risk to a person's safety or health, compromises national security, interferes with a investigation by law enforcement, improperly exposes confidential or proprietary information of another person, infringes on another person’s intellectual property, promotes illegal drugs, violates export control laws, relates to illegal gambling or illegal arms trafficking, is otherwise illegal or solicits conduct that is illegal under laws applicable to you or to Us, or is otherwise malicious, fraudulent, or may result in retaliation against Us by offended viewers. Content “published or transmitted” includes Web content, e-mail, bulletin board postings, chat, and any other type of posting or transmission that relies on the Internet.
You may not use the Services to publish directories, links or other information pointing to sites that contains content prohibited by this Terms of Service and Accepted Use.
You may not use the Services to publish, distribute, or otherwise copy any music, software, art, or other work protected by copyright law unless you have been expressly authorized by the owner of the copyright for the work to copy the work in that manner. You may not use a domain name that breaks into a third party's trademark, service mark, or other proprietary right.
The initial term for each order begins on the date we make the services available for your use and continues for the period stated in the order. No refund from the Company is made in case you do not use provisioned services for whatsoever the reason may be. Upon expiration of the initial term, the order will automatically expire for successive renewal terms unless and until the client provides their consent and makes the requisite payment towards this purpose. If the client gives consent (in written or through online order submission) for automatic renewal of term of services with requisite payment commitment, the order may be executed by the Company.
All payments for products and services are to be made in advance before the services are rendered. Company is at the sole discretion to suspend/terminate any products/services at any moment in case of nonpayment. In case anybody is incorrectly charged with respect to the published pricing (applicable during the period of purchase) it may be drawn to the notice of the Support Department for correction. The decision of any pricing/promotional discounts is at the sole discretion of the Support Department and it cannot be challenged in any way outside.
The Sales and Support Services are provided between 09:30 am to 06:30 pm IST on working days only. Any support services beyond the stipulated duration is purely based on the availability and cannot be claimed. We make all efforts to respond to any communication or enquiry or complaints by our clients in the least possible time. However any delay that may happen due to any reason cannot be used as a reason for any claim against the company.
Password is meant entirely for private use. We take no responsibility for any sort of leakage. It is entirely the responsibility of the user to prevent sharing of password to prevent their data from being hampered. Clients must immediately change the password provided to them at the time of creation of an account. During availing support if clients have provided their passwords to the support team it is their responsibility to change their password after receiving the support services. In case of a request for password reset, clients must change the password immediately after getting the new password from the support department.
In case of change in ownership at the client side the requisite information about client and the new ownership must be provided along with proof to make necessary changes to the client profile at our end.
In case of failure in payment the services will be immediately suspended. However in case of Domain Registration the renewal can be done within 15 days after the expiry and in case of hosting account the data will be kept on the server for a period of 30 days after the expiry and will be deleted if the payment is not made within this period.
Maintenance schedules related to servers and network are notified before one week. However emergency maintenance may be performed without prior notice when required. Any outrages the client cannot claim any refund or compensation.
Backup for data is made. However clients are accountable for maintaining a local copy of their web content in case a data loss occurs and no compensation from the company can be claimed for the same.
ADII will conduct the work based on work scope and timeline agreed with client. Either party may terminate this Agreement at any time by giving the non-terminating party thirty (30) days written notice if not specified otherwise in the agreement.
ADII will not use, except for Client's Work, nor disclose to any third party, trade secrets or other confidential information derived from or developed for Client, or any affiliate of Client. Information is not subject to such restrictions if ADII can show that (a) it was in its possession prior to its disclosure to ADII by Client; or (b) it is, or lawfully becomes, part of the public domain; or (c) it otherwise lawfully becomes available to Client from a source independent of Client. A trade secret is any information, process, or idea that is not generally known in the industry, that Client considers confidential, and that gives Client a competitive advantage. Upon termination of the Agreement, ADII will deliver to Client the copies of all documents, source code, digital or physical files, or any other materials acquired by ADII from Client.
ADII will not disclose to Client any information deemed confidential by any third party and all information disclosed to Client by ADII under this Agreement will be deemed to be non-confidential so far as Client's use thereof is concerned. ADII warrants that the possession, use, and/or disclosure by Client of any information furnished by ADII to Client will not violate the proprietary rights of any third party. If, based upon its possession, use, and/or disclosure of such information, Client is charged with violation of any proprietary rights of any third party; ADII will defend and hold Client harmless from losses or judgments arising out of such charge.
ADII is engaged as an independent contractor and not as an employee. Client will have no control over the manner or method of performance of the subject matter of this Agreement. ADII will serve in an advisory capacity only, shall have no right or power to bind Client and shall not enter into any agreement with any third party on behalf of the Client.
ADII will not be liable for any loss, profits or special, indirect or consequential damages which may result from ADII's work under this Agreement. In the event Client is dissatisfied with the work, Client can, within a period of thirty (30) days of completion of the work, notify ADII of any deficiencies and ADII will attempt to remedy such deficiencies. Client's compensation for any damages it may suffer as a result of the work cannot exceed the amount ADII received as payment for the work in a month.
We are under no duty, and does not by this Terms of Service and Accepted Use undertake a duty, to monitor or police your activities and disclaims any responsibility for any misuse of our services or network. We have no obligation to any person or organization who has not entered into an agreement for services.
